Steven D. Uslaner
Steven’s practice is in private placements, initial public offering of stock, registered directs, mergers and acquisitions, and securities compliance. He has extensive experience in reverse merger transactions and public offerings of Special Purpose Acquisition Companies.
Steven D. Uslaner is a corporate and securities partner at Littman Krooks LLP in New York City. His principal practice is in the corporate finance area representing both issuers and investment banks in private placements, initial and secondary public offerings of stock, venture capital transactions, registered direct offerings and other financing and corporate restructurings.
Steven has extensive experience in alternative public offering/reverse merger transactions and PIPE transactions. Steven also represents a variety of clients in ongoing general corporate governance matters and reporting obligations under the Securities and Exchange Act of 1934. In addition to his work related to capital market transactions, Steven represents clients in a wide variety of business combinations and divestures, including mergers, acquisitions and spin-off transactions.
Mr. Uslaner received his J.D. degree in 1987 from Hofstra University and was admitted to the New York State Bar (1988). He graduated from the State University of New York at Stony Brook (B.A., 1984). Mr. Uslaner is a member of the American Bar Association’s section on Corporation, Banking and Business Law.
